3. User Responsibilities
As a user of our Services, you agree to:
- Provide accurate, complete, and timely information required for the provision of Services.
- Comply with all applicable local, national, and international laws and regulations related to your shipments and business activities.
- Ensure that all goods are properly packaged, labeled, and accompanied by necessary documentation.
- Indemnify and hold 318 Transport harmless from any claims, damages, or expenses arising from your failure to meet these responsibilities.
4. Payment Terms
Fees for our Services will be as agreed upon in a separate written agreement, quote, or contract. Unless otherwise specified:
- Invoices are due upon receipt or as per the terms stated on the invoice.
- Late payments may incur interest and/or late fees as permitted by law.
- 318 Transport reserves the right to suspend or terminate Services for non-payment.
5. Limitation of Liability
To the maximum extent permitted by applicable law, 318 Transport shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services.
- Any conduct or content of any third party on the Services.
- Any unauthorized access, use or alteration of your transmissions or content.
In no event shall 318 Transport's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using our Services in the twelve (12) months preceding the claim.
6. Indemnification
You agree to defend, indemnify, and hold harmless 318 Transport, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (iv) any claim that your actions caused damage to a third party.
7. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Hinds County, Mississippi, and the parties hereby consent to the personal jurisdiction and venue therein.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
